This is a great question.  My understanding is that BOD is a measure of the organic material in a wastewater that can be digested or degraded by micro-organisms such as bacteria, fungi and the like.  The organic material can be dissolved in the wastewater, like sugar in coffee or it can be in particulate form.

Spot on Andrew. BOD measures the amount of oxygen used by microorganisms in metabolizing the organic matter. It is an indirect way of measuring the organic matter in the water.
